Session One: Introduction to Governance, the Board and its Role

Following an overview of the course, Richard will outline what Governance means and practical applications. He'll then define the purpose of a Board and its functions, as well as the key roles and duties of individual Directors and what makes an effective Board Chair.

14th October

Session Three: Governing Strategy and Risk

Creating, managing and executing strategy while balancing risk is one of the greatest challenges for a business. Richard will define what a strategy is and how to create your own, cover common pitfalls and outline a Boards role in setting strategy. Risk and the Board's role in governing risk will be clarified to ensure a CEO is supported and their decisions are well-considered.


28th October

Session Four: Boardroom Dynamics

A Board is made successful by not only the contributions of individual members but also how they work together for the good of the business. Richard will share how to best prepare for board meetings to maximise efficiency and value, understanding the importance of debate in order to reach quality consensus decisions. 

To finish the course, Richard will advise how to prepare your governance CV and steps you can take to secure a board position of your own.

Session Two: Working with the Chief Executive and an overview of Finance

This session will cover best practice for selecting and appointing a CEO and outlining how the Board, CEO and Management work collaboratively. Richard will discuss the Board's role in Finance, provide guidance as to what matters most when reading the primary financial statement and how to identify distress or  insolvency. 


Richard established international governance advisory business Westlake Governance Ltd in 2001, with the objective of Building Boards into Leading Teams. 

Richard describes his purpose as ‘MAD2–to make a difference to people who make a difference,’ and works throughout New Zealand and overseas, mostly in South-East Asia, Australia and the Pacific. He has delivered governance training programmes in New Zealand and globally for more than 15 years. He has probably trained more directors than anyone else in New Zealand and he is in increasing demand to speak at conferences worldwide –when permitted to travel. 

Richard has over 25 years’ practical experience as a director and board chair. He currently chairs the board of New Zealand Home Loans Limited and has recently retired as ChairofCo-op Money NZ and a director of RCBC Bank, one of the largest banks in the Philippines. Until 2019, he was Chair of Careerforce Industry Training Organisation and completed nine years as the first independent director of the Dairy Goat Co-operative (NZ) Limited, the world’s leading manufacturer of goat milk infant formula. Among earlier roles, Richard has chaired a range of other organisations, including two state-owned enterprises, software company Intergen Ltd, Standards New Zealand, the NZ Telecommunications Forum and Canterbury Opera; and he was a founding independent director of Kiwibank Ltd for its first ten years. 

Based in Wellington, Richard is the author of ‘Guidance for the Directors of Banks,’written in 2013–after the GFC –for the World Bank’s private sector arm, the International Finance Corporation; and he writes possibly the world’s only blog specifically aimed at board chairs and experienced directors, ‘Chairing –for the rest of us.’
